Terms of Service
Effective Date: 1 April 2025
These Terms of Service ("Terms") govern your use of Truelancer's AI Services ("Services"), including but not limited to data collection, data annotation, quality control (QC), transcription, and model evaluation, provided by Truelancer Internet Private Limited ("Truelancer", "we", "us", or "our"). By using the Services, you agree to these Terms.
1. Scope of Services
Truelancer provides AI-enabling services powered by a global network of freelancers. These include:
- Speech and data collection
- Image, video, text, and audio annotation
- Transcription and translation
- Quality assurance and review
- Model testing, bias analysis, and evaluation
- Prompt engineering and synthetic data generation
Each service engagement will be defined in a Statement of Work (SOW) agreed upon by both parties.
2. Client Responsibilities
Clients agree to:
- Provide clear and complete task guidelines, quality metrics, and timelines.
- Supply any required data, tools, or platform access in a timely manner.
- Ensure that client-provided data does not violate any third-party rights, confidentiality, or laws.
Truelancer is not responsible for any legal violations arising from data or instructions supplied by the client.
3. Data Ownership & IP Rights
- All raw and processed data delivered to the client under a paid engagement remains the exclusive property of the client.
- Truelancer and its freelancers do not retain rights to annotated or generated data unless otherwise agreed in writing.
- Truelancer may retain anonymized, aggregate task metadata for internal QA and service improvement purposes.
4. Freelancer Engagement
- Freelancers are independent contractors engaged via Truelancer's platform or managed workforce.
- Truelancer is responsible for ensuring freelancers comply with quality standards, timelines, and confidentiality agreements.
- Specific freelancers are not considered employees or agents of the client.
5. Confidentiality & Data Security
- Truelancer implements administrative and technical safeguards to protect client data.
- All freelancers involved in AI Services are bound by strict Non-Disclosure Agreements (NDAs).
- Client data will not be used, shared, or repurposed for any purpose beyond the scope of the engagement.
If required, Truelancer will sign Mutual NDAs or Data Processing Agreements (DPAs).
6. Service Levels & Quality
- Truelancer will adhere to quality standards and SLAs (Service Level Agreements) as outlined in the project SOW.
- Review layers, inter-annotator agreement, and sampling audits may be used to ensure data accuracy.
- Rework or correction of tasks not meeting agreed thresholds will be provided at no additional cost.
7. Payment & Invoicing
- Payment terms, rates, and billing cycles will be defined in the SOW.
- For managed projects, milestone-based or monthly invoicing may be used.
- Late payments may be subject to service pauses or penalties, as outlined in the agreement.
8. Prohibited Uses
You agree not to use the Services for:
- Training or deploying unlawful AI systems (e.g., surveillance without consent, discriminatory algorithms).
- Activities violating GDPR, HIPAA, CCPA, or other applicable regulations.
- Distributing or uploading harmful, abusive, or illegal content.
Truelancer reserves the right to terminate services for violations without liability.
9. Termination
Either party may terminate an engagement with written notice:
- For cause: immediate termination if there is material breach or data misuse.
- For convenience: with 15 days' written notice and settlement of outstanding dues.
Upon termination, Truelancer will return all client data and delete copies unless retention is legally required.
10. Limitation of Liability
Truelancer's liability for claims arising from Services is limited to the total fees paid for the relevant project in the 3-month period prior to the claim. We are not liable for indirect or consequential damages.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any disputes will be resolved through arbitration in New Delhi, India, under the Arbitration and Conciliation Act, 1996.
12. Amendments
Truelancer reserves the right to update these Terms. Clients will be notified of material changes, and continued use of Services after such changes constitutes acceptance.
